TERMS AND CONDITIONS | BOL

Definitions

  • Company refers to Recycling & Waste Reduction (RWR).

  • Customer refers to the shipper, carrier, consignee, or any party contracting services.

  • Materials refer to the waste, recyclables, or any items handled under this agreement.

  • Bill of Lading (BOL) means the document issued by the Company acknowledging receipt and transport of Materials.

Scope of Services

This BOL covers the transportation, processing, recycling, and/or disposal of Materials as described. Services are provided in accordance with applicable laws and regulations.

Title and Ownership

Title to all Materials transfers to the Company upon receipt, except in cases where:

  • Materials are deemed Non-Conforming Waste (e.g., hazardous, prohibited, or contaminated materials not previously disclosed),

  • Or where prior written agreement states otherwise.

Customer’s Responsibilities

  • Accurately identify and describe all Materials.

  • Ensure that Materials are properly packaged and secured for transport.

  • Comply with all local, state, and federal regulations.

  • Indemnify and hold the Company harmless from any liability arising from non-compliance, misdescription, or misclassification of Materials.

Non-Conforming Materials

If any load is found to contain Non-Conforming Waste:

  • The Company may reject the load, return it to the Customer, or dispose of it at the Customer’s expense.

  • The Customer is liable for any fines, damages, or remediation costs arising from improper materials.

Limitation of Liability

The Company is not liable for:

  • Any damage or loss arising from inaccurate or incomplete descriptions of Materials,

  • Delays due to weather, traffic, regulatory issues, or force majeure,

  • Losses exceeding the fair market value of the Materials.

 Insurance

The Customer is responsible for ensuring proper insurance coverage for Materials prior to acceptance by the Company.

Environmental and Safety Compliance

All services will be performed in accordance with applicable environmental, health, and safety regulations. The Customer must not include hazardous waste unless explicitly authorized in writing.

Charges and Payment

Charges are as per the Company’s rate schedule or written agreement. Payment is due within [30] days of invoice. Late payments may incur a [1.5%] monthly interest fee.

Governing Law

This agreement is governed by the laws of the State in which the service is provided. Any disputes will be resolved in the courts of that jurisdiction.

Entire Agreement

This BOL, along with any referenced agreements, constitutes the entire agreement between the parties concerning the services provided. No oral modifications are valid unless in writing and signed by both parties.

Severability

If any provision is found invalid or unenforceable, the remainder will remain in full force and effect.

Acceptance

The Customer's acceptance of services or signing of this BOL confirms agreement to these Terms and Conditions.
